面對陷於經濟低谷困境的香港政府，與失落中國市場的華特，於1999年初正式展開商討，11月公布合組「香港國際主題公園有限公司」，在大嶼山竹篙灣興建亞洲第二個迪士尼樂園，港府按資金投入持股57%，華特則持43%。
